I see the "employee stock" but what about the billion shares of common stock?
The price is 0.0001 so tenth of a penny. As the owner of the healthcsre company. He holds a ton of stock. I assume this is this is swap out of healthcare stock for the SPAC shares.

I suppose so. If I thought the stock price was going to go way up I might hold onto them for now though.

The stock has to swap. The old Healthcare stock will be dissolved as they were bought and now a subsidiary of the SPAC. Its why they call it a reverse merger. This is his swap out for his ownership sale.

Yes. Understand how a SPAC works. They sell x hundred million shares of stock and warrants. They use that stock for purchasing the private company. The purchase price is in the SEC filings and describes cash, stock, debt payment etc. This is how IPO Founders become billionaires over night.

This isn't a SPAC though. This is a penny stock

I was still trying to figure out how much a billion hundreth of penny was in real money.
I added the total in my first post. Stock will go down, but if he can convert at now prices he’ll be in for a 163.8 million of profit taking from redditor baggage holders.

Appreciate the honest opinion. Most of the stuff I'm reading from other places see this as really bullish. There is talk that there is a settlement in HCMC's favor with PM in the works. Lots of insider stock acquisition being a good sign. But it's tough the separate the truth from the pumpers and hypers /shrug.

Printing some stock for CEOs is reasonable and good if the company is improving consistently, and typically these options are tied to their presence being persistant and beneficial in some way. Printing 39 billion shares over night that he can dump immediately is just a cash grab. There is absolutely positively nothing beneficial about it to anyone holding stock.

The amount of companies lately that are doing this is kind of shocking.

Take NNDM for example. They have gotten like 7 times in the last couple of months that they have printed millions and millions and millions of stocks out of nothing and it's only like 14 bucks. You can go back and its like they average an Direct offering every 2 weeks or something.

Nano Dimension's offerings that have closed since that time include:

  1. A $3.5 million public offering on February 7, 2020
  2. A $13.3 million public offering on April 28, 2020.
  3. A $35.9 direct offering on May 22, 2020.
  4. A $16.9 million direct offering on October 5, 2020.
  5. A $50 million direct offering on October 28, 2020.
  6. A $100 million direct offering on November 23, 2020.
  7. A $60 million direct offering on December 2, 2020.
  8. A $180 million direct offering on December 9, 2020.
  9. A $250 million direct offering on December 30, 2020.
  10. A $332 million direct offering on January 19, 2020.
Now they are looking to do an 11th one for 500M. I guess as long as ARK is willing to buy in the millions of numbers of shares they will just keep doing it.

Other stocks are doing this as well. Wonder why so many companies feel the need to just bank cash. Part of me thinks they are just giving themselves big bonuses and will just take the golden parachute when its necessary.

The path to being a penny stock is a lot easier than being a real stonk. If your shit is bullshit, why not print and profit on retards.

What do you guys make of this: SEC FORM 4

Seems like the CEO was just granted 39 billion stock options which are fully vested and can be exercised at any time and 1.1 billion shares of common stock.

Is it big news or nothing? Reddit seems hyped about it, but I've learned not to trust that board much.

For what its worth, I sold all my HCMC earlier this week. I had a small position of 100K shares, made 200%+ profit
